These Terms of Service (“Terms”) govern access to and use of FS Patent Intelligence, an AI-enabled patent management and assistance platform provided by Findability Sciences Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at A 102, Gala Quest, Paranjape B Scheme, Road No 1, Vile Parle East, Mumbai-400057 India (“Company”, “we”, “us” or “our”). Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
These Terms apply to all visitors, users, and others who access the Service, including free trial applicants and paid subscribers (each, a "User", "you"). These Software Terms and SaaS Agreement (“Agreement”) govern Customer’s access to and use of software and services provided by Findability Sciences, Inc. (“Findability Sciences,” “FS,” “we,” or “us”).
1. ACCEPTANCE OF TERMS
By creating an account, submitting a free trial request, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
2. DESCRIPTION OF THE SERVICE
FS Patent Intelligence provides AI-assisted lead generation, patent drafting assistance, prosecution management tools, claims charting, and related intellectual property workflow tools (collectively, the "Service"). FS Patent Intelligence is a software tool. It does not provide legal advice, does not act as a patent agent or attorney of record before any patent office, and using the Service does not create an attorney-client or agent-client relationship with Findability Sciences. See Clause 9 (No Legal Advice; Not a Patent Agent or Attorney of Record) for further detail.
We may modify, suspend, or discontinue the Service (or any part of it) at any time, and will give you reasonable advance notice of any change that materially reduces the functionality available to paid subscribers. Clause 5.7 describes your rights if we discontinue a paid feature you have subscribed to.
3. ELIGIBILITY & USER ACCOUNTS
You must be at least 18 years of age and have the legal authority to enter into these Terms, on your own behalf or on behalf of the organisation you represent.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information when registering, and keep that information up to date.
We may suspend or terminate accounts that violate these Terms, contain fraudulent information, or remain inactive for an extended period, in accordance with Clause 14.
4. FREE TRIAL
We offer a free trial providing limited, time-bound access to the Service for evaluation purposes, currently two (2) days, at no charge and without requiring payment details. Free trial requests are reviewed before access is granted; once approved, you will receive an email to set your password. We may change the duration or scope of the free trial, or decline a request, at our discretion.
5. SUBSCRIPTIONS, BILLING & PAYMENT
5.1 Subscription Plans -
Paid plans are billed on a monthly basis. By providing payment information, you authorise us to charge the applicable fees to your payment method. Fees are exclusive of applicable taxes which will be added at checkout or invoiced separately as required by law. Details of available subscription plans, subscription periods, applicable fees, features and taxes will be displayed at the time of purchase or otherwise communicated to you.
5.2 Free trials -
Provide 2-day access to the Service at no charge. No credit card is required. Free trial requests are subject to review, and access is granted once your request is approved; you will receive an email to set your password when this happens.
5.3 Payments in India -
Indian Rupee (INR) payments are processed through BillDesk, an RBI-regulated payment aggregator. Subscriptions automatically renew on the same date each month unless cancelled before the renewal date. We do not store your card number, CVV, or full payment credentials; our payment processor(s) share with us only a transaction reference and confirmation status, as described in our Privacy Policy.
5.4 Payments Outside India -
For users purchasing a subscription outside India, payments shall be made through the payment method or payment service provider made available and applicable at the time of purchase.
The available payment methods, currency, applicable taxes and payment-processing requirements may vary depending upon the user's location and will be displayed or communicated at the time of checkout.
Users are responsible for any applicable bank charges, foreign exchange charges, taxes, duties or other charges imposed in connection with their payment, except where otherwise required by applicable law.
5.5 Taxes -
Subscription fees are exclusive of applicable taxes unless expressly stated otherwise. You shall be responsible for payment of all applicable taxes, including GST or other applicable taxes, duties or governmental charges associated with your purchase or use of the Service.
5.6 Recurring Billing & Payment Authentication -
By providing payment information and selecting a recurring subscription, you authorise us, through our applicable payment service provider, to charge the applicable subscription fees and taxes to your selected payment method on a recurring basis until you cancel your subscription.
For payments made in India through BillDesk, recurring payments and payment authentication shall be processed in accordance with applicable Reserve Bank of India (“RBI”) requirements and other applicable payment regulations. Where required, you may be requested to complete additional authentication, including an OTP or other authentication method, for the creation or processing of a recurring payment mandate or renewal transaction. Any required pre-debit notification will be provided in accordance with applicable RBI requirements.
For payments made outside India, recurring payments, authentication requirements and renewal notifications will be processed in accordance with the requirements of the applicable payment service provider, payment method and applicable laws and regulations in the relevant jurisdiction.
5.7 Automatic Renewal and Cancellation -
Where a subscription is offered on an automatic renewal basis, the subscription will automatically renew for the applicable billing period unless cancelled before the renewal date. Where required under applicable law or payment-system requirements, appropriate notice or pre-debit notification will be provided before processing a recurring payment. By selecting an automatically renewing subscription, you authorise the Company and/or its payment service provider to charge the applicable subscription fee and taxes using your authorised payment method, subject to applicable law and payment-system requirements.
You may cancel your subscription at any time through your account settings or by contacting the Company at info@findabilitysciences.com.
Cancellation will take effect at the end of the then-current billing period. You may continue to access the applicable Service until the end of that billing period, following which the subscription will not renew.
Cancellation will not entitle you to a refund or credit for any subscription fees already paid or charged.
5.8 No Refunds -
Except where required under applicable law, all subscription fees and other amounts paid for the Service are non-refundable. No refund or credit will be provided for cancellation, partial use, non-use, or any unused portion of a subscription period.
All refunds and cancellations shall be governed by our No Refund Policy, available at No Refund Policy, which is incorporated into these Terms by reference.
5.9 Price Changes -
We may change our prices with at least thirty (30) days' advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing; if you do not agree to a price change, you may cancel your subscription before it takes effect.
5.10 Effect of Service Discontinuation -
If we discontinue the Service, or a paid feature you have subscribed to, other than as a result of your breach of these Terms, you will not be entitled to any refund, credit, or compensation for any unused portion of the subscription period.
6. INTELLECTUAL PROPERTY
6.1 Your Content -
You retain all ownership rights in the patent applications, drafts, claims, and other content you create or upload using the Service ("Content Data").
6.2 Our IP -
Findability Sciences retains all rights in the Service itself, including its AI models, software, design, and underlying technology. You must not reverse-engineer, decompile, or attempt to extract the source code of any part of the Service.
6.3 Licence You Grant Us -
You grant us a limited, non-exclusive licence to process your Content Data solely for the purpose of providing the Service to you (including storing, displaying, and enabling your export of that content).
6.4 No AI Training on Content Data -
We do not use your Content Data to train, fine-tune, or otherwise improve any AI model that is shared with, or made available to, other customers. Any use of data to improve the Service generally is limited to aggregated, de-identified usage and behavioural data (such as feature interactions, error logs, and performance metrics), and never includes the substance of your Content Data. If we ever wish to use your Content Data to improve a model in a way specific to your own account, we will ask for your prior, explicit, opt-in consent, which you may withdraw at any time without affecting your access to the Service.
6.5 Feedback -
If you provide us feedback or suggestions about the Service, you grant us a perpetual, royalty-free licence to use that feedback without restriction, for the purpose of improving the Service.
7. LEAD GENERATION & YOUR RESPONSIBILITIES -
If you use the Service's lead-generation features to identify or contact prospective clients or contacts, you represent that you have an appropriate legal basis (such as consent, legitimate interest, or an existing business relationship) to process and contact those individuals' personal data, and that your use of the feature complies with applicable data protection, anti-spam, and telemarketing laws. As between you and us, we process that data as your service provider, acting on your instructions, and do not independently market to those individuals. Our Privacy Policy describes this in more detail.
8. PROHIBITED USES -
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others, or submit content you do not have the right to submit; (c) transmit unsolicited communications in violation of applicable law; (d) attempt to gain unauthorised access to any part of the Service or its infrastructure; or (e) use automated means to scrape, crawl, or extract data from the Service without our prior written consent.
9. NO LEGAL ADVICE; NOT A PATENT AGENT OR ATTORNEY OF RECORD -
AI-generated patent drafts, prosecution timelines, and claims charts produced by the Service are starting points and aids only. They must be reviewed by a qualified, registered patent attorney or patent agent before you rely on them, file them, or submit any response to a patent office. We do not provide legal advice, do not act as your patent agent or attorney of record before any patent office, and do not review filings for legal sufficiency. You are solely responsible for engaging appropriately qualified professionals for any filing, prosecution, or legal decision.
10. CONFIDENTIALITY -
Each party will keep confidential any non-public information disclosed by the other party in connection with the Service including your Content Data and will use it only as necessary to perform its obligations under these Terms, except where disclosure is required by applicable law or with the disclosing party's consent. This obligation survives termination of these Terms for three (3) years, and, in respect of Content Data, for so long as we continue to hold it.
11. INDEMNIFICATION -
You agree to indemnify, defend, and hold harmless Findability Sciences and its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) content you submit to the Service that infringes a third party's intellectual property rights or breaches a confidentiality obligation you owe to a third party; (b) your use of an AI-generated draft or other Service output without the review of a qualified patent attorney or agent before relying on or filing it; (c) your breach of these Terms; or (d) your violation of any applicable law in your use of the Service.
12. DISCLAIMER OF WARRANTIES -
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
13. LIMITATION OF LIABILITY -
To the fullest extent permitted by law, Findability Sciences shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Nothing in this Clause 13 limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
14. TERM, SUSPENSION & TERMINATION -
These Terms remain in effect for as long as you use the Service. You may stop using the Service, and cancel any subscription, at any time in accordance with Clause 5.5. We may suspend or terminate your account, with notice where practicable, for a material breach of these Terms that you do not remedy after being asked to do so, for fraudulent or inaccurate account information, or for extended inactivity. On termination, your right to use the Service ends; Clauses 6 (Intellectual Property), 10 (Confidentiality), 11 (Indemnification), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), and 15 (Governing Law and Dispute resolution) survive termination.
15. GOVERNING LAW & DISPUTE RESOLUTION -
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IP Cloud Suite is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
16. CHANGES TO THESE TERMS -
We may update these Terms from time to time. If we make a material change, we will provide reasonable advance notice (for example, by email or an in-product notice) before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
17. SECURITY -
The Company shall maintain reasonable technical and organisational security measures appropriate to the nature of the Service and information processed.
No internet-based system is completely secure, and the Company does not guarantee absolute security.
Customers must promptly notify the Company at info@findabilitysciences.com. of suspected unauthorised access to their account.
18. SUSPENSION -
The Company may temporarily suspend access where reasonably necessary: (a) to address a security threat; (b) to prevent unlawful or fraudulent activity; (c) for material breach of these Terms; (d) for non-payment of undisputed fees; (e) where required by law; or (f) to prevent material harm to the Platform or other users.
Where reasonably practicable, the Company shall provide notice and an opportunity to remedy the issue before suspension.
19. DATA EXPORT AND DELETION -
Following expiry or termination, Customers may request export of available Customer Data within Thirty (30) days, subject to technical feasibility and applicable subscription terms.
Thereafter, Customer Data may be deleted or anonymised in accordance with the Company's retention policy, except where retention is required by law, security requirements, dispute preservation or legitimate backup processes.
20. ELECTRONIC COMMUNICATIONS -
The Customer agrees that contractual notices, invoices, service communications and other communications relating to FS Patent Intelligence may be provided electronically.
Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.
21. MISCELLANEOUS -
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to Clause 7 (Sharing of Information) of our Privacy Policy.
Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
Force Majeure: Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service, and supersede any prior agreements on this subject.
Notices: We may provide notices to you by email to the address on your account, or by posting on the Service. You may send notices to us at legal@findabilitysciences.com.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
